End User License Agreement (EULA)

1. Grant of License: Unicorn Service Solutions LLC (hereinafter referred to as “Licensor”) grants the end user (hereinafter referred to as “Licensee”) a non-exclusive, non-transferable license to use the software and services provided by Unicorn Service Solutions LLC in accordance with the terms and conditions of this agreement.

2. Restrictions: Licensee shall not sublicense, sell, rent, lease, distribute, or otherwise transfer the software or services to any third party. Licensee shall not reverse engineer, decompile, disassemble, or attempt to derive the source code of the software.

3. Intellectual Property: All intellectual property rights, including but not limited to copyrights, trademarks, and patents, in and to the software and services provided by Unicorn Service Solutions LLC are owned by Licensor.

4. Termination: This license is effective until terminated. Licensor may terminate the license at any time if Licensee breaches any of the terms and conditions. Upon termination, Licensee must cease all use of the software and services.

5. Warranty Disclaimer: The software and services are provided “as is” without warranty of any kind. Licensor makes no warranties, express or implied, regarding the fitness for a particular purpose, merchantability, or non-infringement.

6. Limitation of Liability: Licensor shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in any way connected with the use or performance of the software and services.

7. Governing Law: This agreement shall be governed by and construed in accordance with the laws of the state of Texas without regard to its conflict of law principles.
